Reasonable dispositions is not a waivable duty.
The first and most important rule of dispositions is that every aspect of disposition must be commercially reasonable. This rule should extend throughout process, beginning with collecting collateral and then selling it; and includes the form of notices. Commercially reasonable dispositions have no statutory definition and will depend on facts and circumstances. This video reviews the traditional debate of the distinction between process and outcome, and discusses statutory safe harbors.
