As more infrastructure projects take off and data centers dominate the construction industry, the amount of construction across the country continues to grow. And with that, you and your team will face even more of what is a common issue on nearly all construction project -change orders. Some change orders are relatively straightforward, while others may be more complex to evaluate. Either way, determining whether a change order should be granted is all about entitlement. Having a fundamental understanding of what a change to a contract is and how your contract determines whether there is entitlement to recover for that change is crucial for dealing with this explosion in construction work. This course will instruct both the owner and contractor side how to ensure the change order process works well for them and their teams. For owners, this material will provide you with core contract interpretation principles and detail what a contractor must do, by contract, to recover for a claimed change. From a contractor's perspective, the one thing you can do to ensure you're in the best position to have your change order approved is to provide a clear and persuasive explanation to the owner for why you are entitled to recover for that change. This course will give you those tools.
Learning Objectives
- You will be able to identify the difference between directed and constructive changes in construction contracts, including the role of owner intent in determining which category applies.
- You will be able to recognize the key clauses in construction contracts- including the changes clause, the order of precedence/coordination clause, and the notice clause- and explain their relevance to evaluating change order entitlement.
- You will be able to define patent and latent ambiguities, recognize the Spearin Doctrine and its application to design-build projects, and identify owner and contractor responsibilities regarding contract errors and omissions.
- You will be able to identify the five common types of construction changes- significant changes in character of work, differing site conditions, suspension of work, extra work, and eliminated work- and recognize the conditions that trigger entitlement for each.
