Valuation Issues for Drafting Buy-Sell Agreements

 

How do you determine price in a purchase situation?

There are many different ways. In a right of first refusal situation, generally you rely on third party offer price. Purchases upon transition events are at an agreed-upon value, or the value computed on a formula, or using an outside appraisal. While agreed-upon values are simple and cheap, they also need a backup plan. Formula calculations depend on the asset, revenue and cash flow; however require updates for changes in the company or economy. And while appraisals are accurate and easy they can be costly and time consuming. Deciding which is the right way for your client takes much consideration.
