Non-UCC Rules in UCC-Related Cases

Learn how UCC-related cases look not only to the UCC but also to other areas of the law.

Lawyers who practice in the Uniform Commercial Code (UCC) continually find that the UCC is only a part of the law that the lawyer needs to know. Section 1-103(b) of the UCC makes this clear by confirming that other areas of the law, especially the common law, apply unless displaced by a particular provision of the [UCC]. This program will discuss a number of these areas of the law and will explore to what extent the UCC does or does not displace those areas. In particular, the program will focus on UCC-related cases where the courts look not only to the UCC but also to other areas of the law. Review topics on the law of suretyship and guaranties, agency law, mistake and reformation, indemnity, good faith, property law, trust law, successor liability and principles of contract interpretation.
