Loan Workout Complications: Second Lien Issues

According to statistics from Standard and Poors, between September 1 and November 16, 2012, arrangers launched $7.

7 billion of second lien loans, the largest three-month total since June to August 2007. Based on these figures, second-lien volume in 2012 stands at $14.9 billion (as of November 16th). That's the most since 2007, up from $6.8 billion in all of 2011 (source: Forbes, November 28, 2012). This OnDemand Webinar will examine the strengths and potential pitfalls of first lien/second lien intercreditor agreements in such a restructuring/bankruptcy framework. Specific attention will be paid to the interpretation and enforcement of debt caps, standstill and DIP financing provisions. The OnDemand Webinar will also analyze how certain courts have interpreted intercreditor provisions in the context of sales affected pursuant to Section 363 of the Bankruptcy Code. By the end of the program, you will have a clear understanding of current market terms for first lien/second lien intercreditor agreements and how courts are enforcing these provisions.
