The Framework for Asset Acquisition Accounting

If acquiring assets, including assumed liabilities, does not qualify as a business acquisition, the transaction is called an asset acquisition, not a business combination. Asset acquisitions follow a cost-accumulation model under Topic 805-50, while business combinations use a fair-value model under ASC 805. This course provides a structured accounting framework for asset acquisition transactions, enabling participants to apply Topic 805-50 principles and distinguish asset acquisitions from business combinations with accuracy. By participating in this seminar, you will develop a basic yet practical understanding of the asset acquisition accounting framework and walk away with the confidence to distinguish asset acquisitions from business combinations and other types of mergers and acquisitions.
