Tax Planning for Financially-Trouble Businesses: Issues Pertinent to Bankruptcy

If stock held by a 50% shareholder is treated by the shareholder as becoming worthless during a taxable year and that stock is held by the shareholder as of the close of the tax year, for purposes of determining whether an ownership change occurs after the close of such taxable year the shareholder is treated as having acquired such stock on the 1st day of his 1st succeeding taxable year and shall not be treated as having owned such stock during any prior period. This white paper reviews case law discusses this type of tax planning and discusses pre-bankruptcy net operating losses of a debtor corporation.
