Key Commercial Lease Provisions

 
Key commercial lease provisions may include a tenant wanting to negotiate a provision which would entitle the tenant to terminate the lease if certain events occur. This issue frequently presents itself in the context of a retail lease. The retail tenant will attempt to include a provision that would entitle the tenant to terminate its lease if it failed to achieve a specified volume of gross sales by a particular lease year. This creates drafting issues that need to be addressed.

A tenant will frequently try to obtain as much flexibility as possible in its lease in order to anticipate the future expansion of its business. However expansion rights can also hinder a landlord's ability to lease the space that is subject to a tenant's right to expand, since the landlord must first comply with its obligations in the expansion provision before the landlord can lease the space to a third party.
