Is There a Contract?

 
As every law school student has been taught, there are classic elements of any contract. A contract requires an offer from one side and acceptance from the other side. It has to be the same offer and acceptance; the terms have to be mutual. There has to be consideration in the sense of some exchange of value. It doesn’t have to be money and doesn’t have to be property. It can be an exchange of any value and the court’s job is not to determine the relative merit of the exchange of value. And there has to be legal subject matter. Discerning whether all of those elements are present in a particular circumstance can sometimes get tricky.

In this 28-minute video our speaker, Steven C. Bennett, reviews problems that can arise with contracts including capacity, authority and statute of frauds. Mr. Bennett goes into detail regarding preliminary agreements, contracts versus orders and contracts of adhesion.

Steven C. Bennett is a partner at Park Jensen Bennett LLP. He is also an adjunct professor of E-Discovery at New York Law School, as well as an adjunct professor of Conflicts of Law at Hofstra Law School. Mr. Bennett is on the New York State Bar Association Committee on E-Discovery.
