Goals of Contract Drafting

 
The whole idea in contract drafting is to try to be precise as to what it is that the parties have agreed on. Think about a contract as the law between the parties. It needs to be clear as to what each side is supposed to do or not do. A well-drafted contract helps guide party behavior, avoid misunderstandings, adapt to changing circumstances and to avoid or reduce litigation. Both parties need to be able to say that it’s clear what the contract calls for which, as a result, they don’t have to spend time fighting over the meaning of specific terms within the contract.

In this 14-minute video our speaker, Steven C. Bennett, discusses how contracts are about rights, obligations and risks. Once the contract is in place then the rights and obligations to perform what is included in the contract can be addressed if they are not happening. There is always risk of a circumstances arising with the contract that can cause delays or problem with the adequacy of the performance – the contract needs to specify what happens if you are faced with a situation and what will be done to remedy the situation.

Steven C. Bennett is a partner at Park Jensen Bennett LLP. He is also an adjunct professor of E-Discovery at New York Law School, as well as an adjunct professor of Conflicts of Law at Hofstra Law School. Mr. Bennett is on the New York State Bar Association Committee on E-Discovery.
