Deciding Whether a Letter of Intent Is Desirable

 

A letter of intent can be just as important as the agreement.

Before drafting any definitive agreement each party should talk about a letter of intent and whether or not it is desirable for their particular situation. There are specific factors that parties should consider when deciding on whether or not they need one. Most often a letter of intent can define or highlight terms that need further negotiation. Most importantly negotiating and signing a letter of intent can also provide comfort to both sides that they are motivated to get the deal done.  This video covers different reason for having a letter of intent and offers a comparison to term sheets.
