James W.C. Canup is partner and chair of the tax department in the Richmond office of Hirschler Fleischer. His practice focuses on financial instruments and products, including qualified tuition programs; real estate investment trusts; asset-backed and mortgage-backed securitizations; and corporate tax matters. James has represented issuers and underwriters in connection with numerous REIT offerings and various debt offerings, including trust preferred and contingent convertible debt offerings. He is formerly a senior attorney-advisor in the Office of the Chief Counsel (Financial Institutions and Products) of the Internal Revenue Service where his duties included addressing the taxation of REITs.

What is the focus of your practice?
The primary focus of my practice is on the taxation of LLCs and partnerships, corporate transactions, real estate and REITs, tax-exempt organizations, and qualified tuition programs (529 plans).

I also advises issuers of municipal fund securities and counsels clients on transactional tax matters. In addition, I work on IPOs, secondary stock offerings and debt offerings.

I was named among “Virginia Legal Elite,” Tax, Virginia Business, in 2009, 2011-2014. I am also regularly quoted on tax issues in well-known business journals such as the New York Times, The Wall Street Journal, USA Today and Investment News.
